A tolling agreement project finance structure is a contracted revenue model in which a counterparty supplies feedstock or controls dispatch of a processing or generation asset and pays the project company capacity linked fees that support limited recourse debt. The commercial form sits inside the wider family of offtake agreement arrangements used to make project finance bankable.
Tolling agreement project finance mechanics
In classic energy and process plant uses, the toller delivers fuel or other feedstock to an SPV that owns the plant, nominates throughput or dispatch within contracted limits, and takes title to the converted output. The project company is paid primarily for making capacity available and converting feedstock according to the contract, rather than for taking merchant price risk on commodity or power markets.
World Bank BOT analysis of power projects describes long term offtake under which a utility purchases power or pays for capacity on a take or pay basis sufficient, at a minimum, to service project debt and equity. Tariff formulas in that analysis commonly separate a capacity charge from an energy charge linked to volumes actually taken; Turkey and Pakistan BOT examples in the same World Bank material describe a cost-plus tariff built on that capacity-charge-plus-energy-charge structure. That capacity and energy split is the economic pattern labelled a tolling agreement in market documentation when a counterparty additionally supplies feedstock and takes title to output.
World Bank PPPIRC materials on African power purchase agreements treat the PPA as the contract governing sale and purchase of power between a generating project company and an offtaker, and state that lenders will require the PPA to be acceptable before committing funds. Sample World Bank PPPIRC power purchase agreements separate contracted capacity payments from energy payments for dispatched output. Sample fuel supply agreements sit alongside the PPA where the project company, rather than the offtaker, buys fuel. Tolling reallocates the fuel procurement and output offtake roles so that the toller, not the SPV, holds those commodity exposures.
Risk allocation relative to a standard PPA
A standard energy offtake often leaves fuel price and procurement with the project company, sometimes with pass through mechanics in the tariff. Under tolling, fuel price, fuel delivery and usually market sales of output sit with the toller. The project company retains plant availability, conversion efficiency, operations and maintenance, and performance against contracted heat rate or yield metrics.
Credit analysis therefore concentrates on:
- the toller's credit standing and payment support for capacity fees
- availability and performance liquidated damages that protect capacity revenue
- termination and step in rights that preserve the revenue contract for lenders
- interface risk between fuel quality, plant warranties and dispatch instructions
Demand risk for the converted product, and commodity price risk in feedstock and output markets, move to the toller when the contract is written that way. Residual risks remain with the SPV where availability falls short, force majeure suspends capacity payments, or change in law alters costs that are not indexed.
Interaction with security, DSCR and limited recourse debt
Limited recourse lenders size debt against contracted cash flow available for debt service. Capacity fees that continue when the plant is available but lightly dispatched can stabilise DSCR relative to fully merchant dispatch. The financial model still tests forced outage, heat rate degradation, O&M cost inflation and toller default.
The security package typically includes assignment of the tolling agreement, direct agreements with the toller, charges over project accounts into which tolling payments are made, and mortgages or equivalent security over plant assets. Consent to assignment and notice of assignment are conditions precedent so that lenders can enforce or substitute the contract on enforcement.
World Bank BOT guidance stresses that assured revenues under long term offtake, often backed by host government support for a government utility counterparty, are essential for equity and debt commitments. The same bankability logic applies when the offtake is documented as a tolling agreement rather than a pure energy sale: lenders need certainty that capacity payments match debt service under defined availability tests.
Distinctions from road toll concessions and pure merchant plants
Road and bridge concessions that authorise collection of user tolls are a different instrument. Those structures place demand and tariff collection with the concessionaire under a user pays model, sometimes with minimum revenue support. They are not feedstock conversion tolling agreements.
A merchant plant without contracted capacity payments retains market price and volume risk. Hybrid contracts can combine a partial toll with merchant upside, floors or revenue shares. Credit treatment then depends on which cash flows are contracted, which remain floating, and how covenants test each component.
Process industries such as LNG liquefaction, refining and petrochemicals use analogous tolling where a feedstock owner pays a conversion fee and takes product. The project finance question remains identical: whether contracted conversion fees, net of operating costs and reserves, cover scheduled debt service with adequate headroom under stress.
