Independent engineer
An independent engineer is a third-party technical adviser retained to review a project's design, construction, testing and operation and to report objectively to lenders or other stakeholders. In project finance the role is commonly labelled independent engineer or lenders' technical adviser. World Bank PPPIRC sample terms of reference state that the consulting firm serving as independent engineer will provide the usual and customary independent engineer consulting due diligence services to lenders, performed in two phases: initial project review and technical due diligence prior to financial closing, then construction, performance-test and operations monitoring after closing.
Independent engineer use on bank project finance desks
PF desks appoint an independent engineer as part of technical bankability work on the SPV borrower. Before financial close, the engineer reviews design, capital costs, schedule, resource or yield assumptions, the EPC contract and O&M arrangements, and environmental and permitting interfaces, and produces a technical evaluation report used in credit approval.
During construction the engineer monitors schedule, cost, construction quality and performance, reviews progress reports, observes site works and testing, and helps lenders verify that loan agreement terms are being met as the project is built. World Bank municipal PPP guidance describes the independent engineer as one of the most critical consultants at implementation, overseeing and certifying construction quality, with independence and objectivity as essential attributes. Drawdown certificates and taking-over opinions from the engineer often gate disbursements and the path to commercial operation.
Mechanics and institutional scope
World Bank PPPIRC terms of reference set a lender-facing mandate: the independent engineer serves as technical adviser throughout construction on schedule, cost, quality and performance, reviews sponsor and contractor engineering, monitors equipment testing, and advises lenders on situations that could affect successful completion. Scope commonly includes opining on investment costs, foundation and design suitability, weather and site risks, and energy-yield or capacity projections with quantified uncertainty. IFC frames construction-risk mitigation through fixed-price, dated construction contracts with liquidated damages; the independent engineer is the lenders' means of checking that those contractual protections are being delivered in practice. Fees are typically recovered from the borrower even though reports are addressed to the lenders.
Boundaries
An independent engineer is not the owner's engineer employed solely by the sponsor, and not the facility or security agent. Some projects also appoint a separate authority-side independent engineer under the concession; that role certifies for the public party and should not be confused with the lenders' technical adviser, even where both are labelled independent engineer in local practice.
