Offtaker
An offtaker is the purchaser that commits, under an offtake agreement, to buy defined output or capacity from a project company, creating the contracted revenue stream that supports project finance debt service. In power markets the offtaker is typically the counterparty to a power purchase agreement (PPA). World Bank PPP guidance describes the PPA as generally concluded between a public sector purchaser, the offtaker, often a state-owned electricity utility, and a privately owned power producer, and as usually providing the primary revenue stream that underwrites the project.
Offtaker use on bank project finance desks
On PF desks offtaker credit quality is a central repayment assumption because lenders look primarily to project cash flows rather than sponsor balance sheets. Analysts assess payment history and rating, take-or-pay or availability payment mechanics, tenor relative to debt life, termination payments, change-in-law and force majeure allocation, and any sovereign or parental support behind the offtaker.
World Bank guidance treats the structure and risk allocation regime under the PPA as central to the private participant's ability to raise finance, recover its capital costs and earn a return on equity. Pricing often combines an availability or capacity charge, designed as a revenue floor through which the project recovers fixed costs including capital investment and financing costs, with an energy charge linked to delivered output. Forecast revenues then drive the debt service coverage ratio and other cover ratios for the SPV borrower.
Mechanics and institutional scope
The offtaker may be a state utility, a corporate industrial buyer, or a trader under a physical or synthetic offtake. In official export credit, the 2026 OECD Arrangement text defines a project finance transaction as an export of goods or services to a legally and economically independent project company where the lender treats the project company's cash flows and earnings as the source of repayment and its assets as collateral, which is why the offtake contract behind those cash flows carries so much underwriting weight.
IFC lists assignment of major project agreements, including offtake agreements, within the typical lender security package, so that lenders retain some likelihood of repayment if the project runs into trouble. Where offtaker payment risk is political in origin, separate political risk insurance may sit behind the offtake rather than rewrite the commercial bargain. Construction delivery remains with the contractor under the EPC contract; the offtaker's obligations typically crystallise once the plant can meet contracted performance tests.
Boundaries
An offtaker is not the sponsor and not the construction contractor. Merchant projects without a contracted offtaker present a different credit case in which price and volume risk remain with the project company rather than being transferred under a long-term purchase contract.
